These Terms of Service (“Terms”) govern your access to and use of the ResidentHealth360 platform, website, and related services (collectively, the “Services”). ResidentHealth360 LLC (“ResidentHealth360,” “we,” “us,” or “our”) provides the Services to authorized organizations and individuals subject to these Terms.

1. Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understand, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility and Authority

You represent and warrant that (a) you are at least 18 years of age, and (b) if you are using the Services on behalf of an organization, you have the authority to bind that organization to these Terms.

3. Services and Intended Use

The Services provide software functionality for health-related monitoring, visualization, and operational workflows. The Services are intended for use by authorized personnel of subscribing organizations.

The Services are not a substitute for professional medical judgment or clinical decision-making. ResidentHealth360 does not provide medical advice or treatment.

4. HIPAA and Protected Health Information (PHI)

Where applicable, ResidentHealth360 acts as a “Business Associate” under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations (“HIPAA”).

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any suspected unauthorized access or security incident involving your account.

ResidentHealth360 and its licensors retain all rights, title, and interest in and to the Services, including all software, documentation, content, and intellectual property. No rights are granted except as expressly set forth in these Terms.

The Services may integrate with or depend upon third-party services or content. ResidentHealth360 is not responsible for third-party services and does not provide warranties regarding their availability or performance.

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESIDENTHEALTH360 DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RESIDENTHEALTH360 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to defend, indemnify, and hold harmless ResidentHealth360, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any applicable law or regulation.

12. Suspension and Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, pose a security risk, or if required by law. Upon termination, your right to use the Services will cease immediately.

13. Changes to the Services and Terms

We may modify the Services or these Terms from time to time. If we make material changes, we will update the Effective Date above and, where appropriate, provide notice through the website or platform. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.

14. Governing Law; Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Georgia, and you consent to personal jurisdiction and venue in such courts.
